By-Laws of North Dakota Appaloosa Horse Club
ARTICLE I: Purpose:
To promote the Appaloosa horse at the regional level, cooperate with and aid in every way the ApHC, and to abide by the Rules and Regulations printed in the current Official Handbook of the Appaloosa Horse Club.
ARTICLE II: Members
Section 1. There may be two classifications of members: individual and family. Membership dues are $15 single and $20 per family membership (includes youth through age 18) annually. Due on January 1. Points earned prior to payment of membership dues will not be counted toward year-end awards. (Individual adult members shall be defined as 19 years of age and over; individual youth members are defined as being 18 years of age and under on January 1 of the current year; family members are defined as parents/guardians and their children having not reached 19 years of age on January 1 of the current year and living in the same home.)
Section 2. Voting rights. All paid members above the age of 18 in good standing with the North Dakota Appaloosa Horse Club shall have the right to cast votes on any subject at any membership meeting. Individual memberships are entitled to one vote; family memberships are entitled to two votes.
Section 3. Non-Transferable Membership. The membership in this club is non-transferable. Any attempt to transfer shall immediately void the membership and relieve the club of any obligation to refund any dues paid.
Section 4. Due Process
Section 5. Reinstatement. Members may, upon application, be reinstated at the discretion of the Board of Directors.
Section 6. Members are expected to serve on such committees, panels or work groups as necessary to support the club in its functions.
Section 7. Year-end awards. All paid members of North Dakota Appaloosa Horse Club are eligible to earn year-end awards presented by the club. This includes representing North Dakota Appaloosa Horse Club at the World Championship Appaloosa Show, as recorded in the club's point system. The owner(s) on the registration papers must be members of the NDApHC in order for the points to be counted for year-end awards.
ARTICLE III: Meeting of Members
Section 1. Annual Meeting. An annual meeting of the members shall be held on the 3rd weekend of January as determined by the Board of Directors, for the purpose of receiving annual reports relating to the activities of the North Dakota Appaloosa Horse Club and for the transactions of such other business as may come before the meeting.
Section 2. Special Meeting. Special meetings of the members may be called by the President, the Board of Directors, or not less than two-tenths of the members having the right to vote at such a meeting.
Section 3. Notice of Meeting. Written notice stating the place, day and hour of any meeting of members shall be delivered either by mail, email, telephone, or posted on the website of the North Dakota Appaloosa Horse Club, not less than 20 days before the date of such meeting, by or at the direction of the President, or the Secretary, or the Board of Directors. In the case of a special meeting or when required by statute or by these Bylaws, the purpose or purposes for which the meeting is called shall be stated in the notice.
Section 4. Quorum:
Section 5. Voting Rights. At any special or annual meeting of members, a member entitled to vote may vote only in person and not by proxy.
Section 6. Manner of Acting. A majority of the votes entitled to be cast on a matter to be voted upon by the members present at a meeting at which a quorum is present shall be necessary for the adoption thereof unless a greater proportion is required by law or these bylaws.
ARTICLE IV: Board of Directors/Election
Section 1. Board. The Board of Directors shall consist of at least five but not more than seven directors whose terms shall be three years.
Section 2. Election. At the annual meeting of the members, elections shall be held for Directors whose terms have expired. The affairs of the club shall be managed by its Board of Directors. From the entire elected Board, the members may vote their preferences for President, Vice-President, Secretary and Treasurer. Only one Board member or Officer may be elected from the same family.
Section 3. Vacancies. In the event of death, written resignation or refusal to serve on the Board, these vacancies shall be filled by the membership. Should any member of the Board be absent from three regularly scheduled Board meetings during the fiscal year of this club without just reason accepted by the Board, the position may be declared vacant on a majority vote of the Directors present. The unexpected term of such a vacancy will be filled through election by the membership at the next scheduled business meeting.
ARTICLE V: Board of Directors/General Powers
Section 1. General Powers. The Board of Directors shall define the policies of the North Dakota Appaloosa Horse Club and shall have administrative directions and management of this association.
Section 2. Number and Tenure.
The Board of Directors shall have at least five members and no more than seven members each serving a three-year term. Elections will be held annually for the directors whose terms have expired.
Section 3. Officers. The President, Vice-President, Secretary and Treasurer shall be chosen from members of the Board, guided by the preferences of the membership, all being one year terms.
ARTICLE VI: Officers.
Section 1. President. The President shall be the Chief Executive Officer. He/she shall in general supervise the business and affairs of the club. He/she shall preside at all meetings of the members of the Board of Directors. He/she will in general, perform such duties as may be prescribed by the Board of Directors from time to time.
Section 2. Vice-President. In the absence of the President or in the event of his/her inability or refusal to act, the Vice-President shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. He/she shall perform such other duties as from time to time may be assigned to him/her by the President or by the Board of Directors. It shall also be his/her responsibility to supervise committees, attend their meetings and furnish a report of their activities when requested by the President.
Section 3. Secretary. The Secretary shall keep the minutes of all meetings of the Board of Directors and of the members in records solely for that purpose, see that all notices are duly given in accordance with the provisions of these By-Laws, and be custodian of the corporate records. The Secretary shall also keep the membership roll containing the mailing addresses of all members. It is the responsibility of each member to keep the Secretary informed of any address change. The Secretary may be assigned other duties and functions as designated by the President or Board of Directors.
Section 4. Treasurer. The Treasurer shall keep an accurate record of the books and accounts, and shall deposit all club funds in banks as may be approved by the Board of Directors. Such money shall only be withdrawn by check and co-signed by the Treasurer and the President. All disbursements must be approved by the Board of Directors prior to payment. A financial report shall be given to the members at all membership meetings. The Treasurer shall be bonded.
ARTICLE VII: Committees.
Section 1. Committees. The members of a committee shall be members in good standing of the club. The Board of Directors shall appoint a Chairman to such committee as they deem necessary. (Examples of committees include Bylaws, Show, Youth, Trail Rides, Fundraising, Promotions, etc.)
Section 2. Term of Committee. The term for any position or committee member is one year, unless the committee is terminated sooner.
Section 3. Point Keeper. The club may provide a point system for all horses in the various show categories. All high point winners are to be presented year-end certificates at an awards banquet and/or annual meeting. The point keeper will keep accurate tabulations of the points and report the standings periodically in the newsletter, and will handle the World Championship Appaloosa Show qualifying bids. Points earned prior to payment of membership dues will not be counted toward year-end awards. Year-end awards, other than certificates, will only be given to the youth.
Section 4. The year-end point system. The class winner will receive one (1) point for each horse shown in the class with a maximum of nine (9) points awarded. Each subsequent placing will receive one less point down to the last horse placed. Grand champions will receive one more point than any other horse in its sex division. Reserve champion will receive as many points as any other horse in its sex division with the exception of the grand champion. Year-end high point awards will be given for classes held in NDApHC approved shows plus the following categories:

Section 5. Open Show Awards. The club will sponsor an open show program for year-end awards. See Appendix A: NDApHC Open Show Year-End Award Program and Nomination Form for specific rules.
Section 6. Newsletter Editor. The newsletter is the main communication link for North Dakota Appaloosa Horse Club. It shall be published and distributed electronically to the members two or more times per year. Newsletters will be posted and archived on the clubÕs website. Such newsletters shall include minutes and corrections of all meetings, club news and activities, and any advertising that will publicize and promote the Appaloosa horse in this club. The regional newsletter may not be used to embarrass, contest or oppose any action of the ApHC staff or Board of Directors at any time, and may not use a disclaimer to any editorial material that in any way fails to promote or cooperate with the ApHC Articles, By-Laws and Rules. The advertising rates for the newsletter shall be:
Half to a full page: $15; Less than a half page: $10.
Section 7. Friend of the North Dakota Appaloosa Horse Club. A Friend of the North Dakota Appaloosa Horse Club award will be given at the suggestion of the Board of Directors. The award will recognize individuals who have made a significant contribution to the club or the Appaloosa breed.
Section 8. Show Approval. All shows held within the state that meet the clubÕs requirements will be approved for points. Out of state shows may be approved for points upon a vote of the membership.
Section 9. North Dakota Born &/or Bred Award. The ND Born &/or Bred Award is awarded to the horse accumulating the most halter and performance points in open classes in a given year. The horse must be nominated prior to the first show and the owner must pay a nomination fee of $20.
The sire or dam of the nominated horse must have been bred in North Dakota or the nominated horse must have been born in North Dakota. Any age horse is eligible but only open classes count. The horse must enter both halter and performance classes. The owner must be a NDApHC member but does not have to reside in North Dakota.
Section 10. Riding Log. The club will sponsor a riding program where members can log their riding hours in return for premium awards. For specific rules, premiums, and sign-up form, see Appendix B.
ARTICLE VIII: Conduct and Order of Business
Section 1. Conduct. Except as required by statute or as otherwise provided in these By-Laws, all meetings of the members, Board of Directors and Committees shall be in accordance with Roberts Rules of Order.

APPENDIX A
NDApHC Open Show
Year-End Award Program & Nomination Form
PARTICIPATION REQUIREMENTS
1. Only members of NDApHC are eligible to participate in the Open Show Year-End Awards Program. Membership must be obtained prior to the show you wish to submit for points.
2. You must nominate yourself for those categories in which you wish to compete, and nomination fees must be paid prior to the first show to count for points.
3. Ages of all exhibitors will be as of January 1st of the current year.
4. To be eligible to participate in the NDApHC Year End Awards Program, all horses must be registered within the rules of the Appaloosa Horse Club, Inc., Moscow, Idaho. For the horse to be shown in competition for Open Show Year End Awards, all owners must be members of NDApHC. If a horse is sold during the show season, the points remain with the horse provided the new owners become members at the time of sale. Also required is a copy (front and back) of the horseÕs registration papers.
5. Eligibility is gained by membership and maintained through sportsmanship. The Year End Awards Committee is empowered to investigate any and all acts of unsportsmanlike conduct and take whatever degree of disciplinary action deemed necessary, which may include the loss of eligibility to participate in the Open Show Year End Awards Program. Any grievances or protests must be submitted in writing, giving the conditions, reasons and show bill. This must be submitted to the point keeper no more than 14 days from the last approved show season.
6. To be eligible to receive a NDApHC Year End Award, at least 1 point must be gained in the area of open show competition.
7. The best 5 shows will count toward the Open Show Year-End Award. In case of a tie, the tie will be broken by the number of competitors beaten. For remaining ties, duplicate awards will be given.
NOMINATING DIVISIONS
1. The following divisions will be offered by NDApHC for open show competitions: Western Pleasure, Western Horsemanship, English Equitation, Hunter Under Saddle, Showmanship, Barrel Racing, Pole Bending, Trail Class, Western Riding, and Reining.
2. Points accumulated from March 1st through September 30th shall be counted.
3. Points will be used from the best class of the show for the category nominated, i.e., if you show in three halter classes, points will be used from the class in which you did best.
4. A completed Open Show Point Sheet signed by the show secretary and a copy of the show bill must be sent to the point keeper AND must be postmarked no later than 30 days after the date of show for points to count.
5. A nomination fee of $5.00 per horse per division must be paid to NDApHC.
EARNING POINTS
Points shall be awarded as follows:1st place = 6pts; 2nd place = 5 pts; 3rd place = 4pts; 4th place = 3pts; 5th place = 2pts; 6th place = 1pt
In the event that there are less than six entries in any class, points gained shall start with the total number of entries, i.e., 4 entries – points would be 4 – 3 – 2 – 1.
